This Privacy Policy ("Policy") explains how Vicino, LLC ("Vicino"), an Arizona limited liability company, doing business Adesso Tax Services and Adesso Payment Solutions, 8434 E. Shea Boulevard, Suite 100, Scottsdale, AZ 85260, collects, uses, and shares information about You. This Policy applies to all individuals and businesses who access Our Site, Use Our platforms, Use Our Services, and otherwise interact with Us.

As Used in this Policy, "We" and "Our" refers to Vicino; "You" and "Your" refers to the person or business using the Site and/or the Services; "Site" refers to this websites and all sub-sites and webpages as well as all web based platforms with which You communicate with us and share information and documents; "Service" refers to the products and services that You order, receive, or access as part of Your use the Site and Our platforms, as well as Your relationship with Vicino; and "Affiliate" means another, separate legal entity that is either related to Vicino by common owners or is controlled by or under common control with Vicino.

This Policy is in conjunction with our Terms and Conditions (the "Terms"). It is part of the legal agreement between You and Us. By accessing the Site or applying for or seeking any Service, You consent to and are bound by this Policy and the Terms for as long as You continue to use the Site or Services, and consent to Our collection, processing, use, and sharing of Personally Identifiable, Device, Business, and Financial information (as each is defined below) for the purposes set forth herein. If You do not agree to this Policy or to the Terms, You may not access or otherwise use the Site or any Service.

We may modify this Policy at any time at our sole discretion. If we make revisions, We will revise the "Last Updated" date at the top of this webpage, and the revised version will be effective immediately when it is posted. We encourage You to review this Policy regularly to stay informed about our information practices and the choices available to You.

1. Types of Information (Definitions)

As part of Your use of the Site and the Services, the following types of information may be collected:

A. Personally Identifiable Information ("PII") is information that identifies or can reasonably be used to identify You and includes (but may not necessarily be limited to) name, address, phone numbers, fax number, email address, social security number, financial profiles and credit (FICO) scores, and credit card information. PII does not include information that is collected anonymously or demographic information which is not reasonably connectable to an identified individual.

B. Device and Technical Information ("Device Information") is information automatically collected when you access and use our Site and is information relating to your computer, mobile device and other information associated with the device You use, which includes, but may not be limited to, the IP address or other unique identifiers that are automatically assigned to Your device used to access the Site; the type of browser You are using; the third party website from which Your visit originated; the operating system You are using; the domain name of Your Internet service provider; the search terms You use on our Website; the specific webpages on Our Site that you visit; the time of day and duration of your visits, internet connection, referring/exit pages, and clickstream data.

C. Business Information ("Business Information") is the information regarding businesses and their principals that apply for or use Our Services, which includes, but may not be limited to, business name, address, email, and telephone number; company structure; industry type; incorporation date; employee identities and information; customer and client information; vendor information; the owners and principals of the business; and social and networking information.

D. Financial Information ("Financial Information") is the data and information of the business or individual using Our Services, and includes, but may not be limited to, tax returns and tax fillings, Federal (IRS) EIN, bank accounts, accounting information, sales and revenue, financial statements (e.g., profit and loss, balance sheet), payment information amd history, transaction and account history, vendor usage, and transactions and experiences.

E. Third Party Information ("Third Party Information") is information we may receive about You from third parties, such as credit bureaus, financial institutions, referral sources, and Your or Our partners and affiliates.

2. How Information is Collected

You indirectly provide Us Device Information when You use and access our Site. Device Information is collected by tracking technologies. We (and our service providers) Use tracking technologies, such as cookies and web beacons, to collect information. Cookies are small data files stored on Your hard drive or in device memory that help Us improve our Site and Your experience. There are two types of "cookies" used: session cookies, which disappear after you close your browser, and persistent cookies, which remain on Your device after closing Your browser, but some or all may be removed by further action on your device.

Clear GIFs and Pixel Tags (also known as web beacons) and other technologies are also used. Clear GIFs are tiny graphics with a unique identifier, similar in function to cookies, and are embedded invisibly on web pages. Pixel Tags are a small piece of code embedded invisibly on a website to identify and track the user and user behavior. We may use both Clear GIFs and Pixel Tags in connection with our Site to, among other things, track the activities of Site visitors, help us manage content, and compile statistics about Site usage.

We receive PII, Business Information, and Financial Information directly from You when You communicate with Us and when You seek, apply for, or use any of Our Services. We receive Third Party Information when you allow or authorize those third-parties to share information with Us.

3. Use of Information

A. Provide Services. We Use the information we receive primarily to provide Services to You and personalize those Services, to communicate with You, to process Your application and determine whether or not You qualify for our Services, and to provide Services to you. Federal law and the laws of some states require that we collect and verify certain information, such as certain PII, Business Information, and Financial Information in order to provide certain Services.

B. Business Operations. We use the information We receive to operate our business, the Site, and our Services, which includes: to collect to provide, maintain, and personalize our Site; to improve our Site and Services; to detect, prevent, and address technical issues; detect and prevent fraudulent transactions, monitor against theft, and protect against criminal activity; provide support and review feedback; defend our legal rights and comply with applicable law; produce and use data analytics and reports containing anonymized (de-identified) data and information; and to offer You new products, services and/or recommendations.

C. Communication. We use the information we receive to communicate with You and Your representatives, and with our third-party service providers assisting us with providing the Services. We may send SMS messages, e-mail, and push notifications, and initiate live and automated phone calls (directly or through a third-party service provider) for these purposes:

  • Transactions and services, including requests for documents or information, reminders, updates, and reminders.
  • Marketing and promotional messages and calls (with your consent).
  • Account management and contractual relations between You and Us.

D. Legal and Regulatory Compliance. We also may use and share Your information where required, or We reasonably believe it is necessary, for us to comply with applicable law; make required reportings; defend our legal rights; respond to legal process, subpoenas, and inquires; and maintain records for retention purposes.

4. Protection of Information

We take seriously the privacy of Our clients who use our Services. We employ commercially reasonable security measures to protect the loss, misuse, and alteration of the information We collect. These measures include the use of encryption methods and administrative access to site data. We further take steps reasonably necessary to ensure that Your information is not transferred to an organization or a country unless there are adequate controls in place including the security of your data and other personal information. However, despite Your and Our efforts, no security measures are perfect or impenetrable, and no method of data transmission can be guaranteed against any interception or other type of misuse. As such, We cannot guarantee or warrant the security of any information transmitted to us over the internet and hence accept no liability for any unintentional disclosure. We also encourage You to not share your account login and/or password with any other individual. Your account login and/or password is sensitive and your sharing of your account information may lead to additional exposure to your account.

5. Sharing of Information

We do not sell Your information to third-parties. We will not share your personal information for marketing or promotional purposes. We may share PII, Business Information, and Financial Information with third-parties for Us to provide Services to You, such as:

A. Accountants and tax professionals for any tax related services (e.g., FICA Tip Credit, amendment of tax returns).

B. Tax preparation and filing vendors, and other vendors to obtain tax information and to prepare and file tax returns,

C. Communication service providers (such as Twilio) that deliver SMS messages, emails, verification codes, and push notifications, and initiate live and automated phone calls

D. E-signature collection service providers and platform

E. Payment processors (Stripe — credit card data is never stored on Our servers)

F. Web-based cloud storage providers (encrypted document hosting)

G. Customer Relationship Management (CRM) software for customer, records, and Service management.

H. AI service providers (Anthropic, OpenAI) for document analysis via API (Your information and data is processed temporarily and not stored or used for training)

I. Call answering and recording services, and information integration services.

All third-party vendors are required by contract to: (1) process your data only for specified purposes; (2) maintain appropriate security safeguards; (3) comply with applicable privacy laws; and (d) not sell or further disclose your information

We also may share your PII, Business Information, and Financial Information with our Affiliates and affiliated businesses to offer and bring You improved or other services and products, co-branded services, or services and products that You have requested.

We may also share information we receive or collect in order to detect and respond to violations of our Terms; where required to comply with the law, legal process, or lawful requests by public authorities; and inquiries from our lawyers and other professional advisors where necessary to obtain advice to comply with the law and protect our business interests.

6. Third-Party Service Providers

We integrate with the following third-party service providers to perform and provide our Services and communicate with You, each with their own privacy practices:

7. AI Document Processing

We use AI to analyze uploaded documents, and We have structured Our implementation to protect Your data.

A. AI Processing. When You upload a document, We send it to Our AI providers for analysis. The AI identifies the document type, extracts relevant data (e.g., tax year, amounts, employer info), and returns the results to Us. This educes manual data entry errors and speeds up processing. We currently use Anthropic's Claude API and OpenAI's API for document analysis, and may update providers as technology improves.

B. Zero Data Retention by AI Providers. We use commercial API tiers from our AI providers, which have specific data handling where there is no training using Your Information. Neither Anthropic nor OpenAI use API inputs or outputs to train their models under their commercial/business API terms. Your documents are processed in memory and not saved to the provider's systems. Immediate disposal: Data is discarded immediately after processing completes. No human review: Your documents are not reviewed by AI provider employees unless required to investigate abuse.

C. What We Store. We store the analysis results (extracted fields, document classification) alongside Your original documents. Your original documents remain encrypted on Our servers

8. Data Retention

We retain your personal and financial information for as long as necessary to fulfill the purposes described in this Policy and to comply with legal, regulatory, and contractual obligations

9. Your Rights and Choices

A. Communications Opt-Out Rights. You may opt-out of receiving marketing communications or to receiving communications in a certain form:

  • SMS Marketing: Reply STOP to any marketing text message to opt out of future SMS marketing. You may also contact us using the details in sub-section C below.
  • Phone Marketing: Contact us to be added to our internal Do Not Call list. You may also register on the National Do Not Call Registry at www.donotcall.gov.
  • Email Marketing: Click the unsubscribe link in any marketing email, or contact us directly

B. Your Rights. Depending on where You reside, You may have certain rights regarding Your information, including the right to:

  • Access the personal information We hold about You.
  • Correct inaccurate or incomplete information.
  • Request deletion of Your information.
  • Request a copy or portability of Your information.
  • Request to restrict or to object to certain data processing activities.
  • Opt-out of receiving marketing communications, or receiving marketing communications by certain formats.
  • Opt-out of the sale or sharing of personal information (if applicable under law).

We will not discriminate against You for exercising any rights You have.

C. Exercising Your Rights. You may submit a request to access, correct, update, or delete certain information about You, or to otherwise exercise any rights You may have relating to Your information, by emailing us at [email protected] or by using any in-app privacy tools We may make available. We may require verification of Your identity before fulfilling certain requests.

10. Privacy of Children

We do not offer any of Our Services, nor do we direct any of Our activities or Services, to any natural person under the age of 18 ("Children"). We do not knowingly collect PII from any Children, and any Children may access our Site only with the consent and involvement of a parent or guardian. If you are a parent or guardian and you are aware that your Child has provided us with PII, please contact us. If we become aware that we have collected PII from children without verification of parental consent, we take steps to remove that information from our servers.

12. Notice to California Residents

This Section applies only to natural persons who reside in the State of California.

California law grants California residents certain rights and imposes restrictions on particular business practices. The California Consumer Privacy Act, as amended by the California Privacy Rights Act of 2020 ("CCPA"), defines "personal information" to mean information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular California resident or household. Personal information does not include publicly available, deidentified or aggregated information or lawfully obtained, truthful information that is a matter of public concern. For purposes of this "Notice to California Residents" Section, We refer to this information as "Personal Information." We are not compensated for the transfer of any of Your Personal Information to any third party (including third-party ad-network providers).

We are required to notify California residents, at or before the point of collection of their Personal Information, the categories of Personal Information collected and the purposes for which such information is used:

Right to Opt Out of Sale or Sharing of Personal Information. You may submit a request to opt out of sales or sharing by emailing us at [email protected].

Verifiable Requests for Copy, Deletion and Right to Know. Subject to certain exceptions, California residents have the right to make the following requests, at no charge, up to twice every 12 months:

Right of Deletion: The right to request deletion of their Personal Information that We have collected about them and to have such personal information deleted, subject to certain exemptions, including where such information is necessary complete the transaction for which the Personal Information was collected, provide a good or service requested by the customer, or reasonably anticipated within the context of a business's ongoing business relationship with the customer, or otherwise perform a contract between a business and the customer.

Right to a Copy: The right to request a copy of the specific pieces of Personal Information that we have collected about them in the prior 12 months and to have this delivered, free of charge, either (a) by mail or (b) electronically in a portable and, to the extent technically feasible, readily useable format that allows the individual to transmit this information to another entity without hindrance.

Right to Know: The right to request that we provide them certain information about how we have handled their Personal Information in the prior 12 months, including the categories of Personal Information collected and the purposes for which such information was collected (in each case as specified in this Privacy Policy).

Shine the Light: California residents may request, free of charge, a list of what Personal Information (if any) we provided to third parties in the preceding year for that third party's direct-marketing purposes. You may make one request per calendar year. In your request, please attest that you are a California resident and provide a current California address for your response. You may request this information in writing by contacting us as set forth in the User Agreement. Please allow up to thirty (30) days for a response.

We will comply with your request upon verification of your identity. We will verify your identity either to a "reasonable degree of certainty" or a "reasonably high degree of certainty" depending on the sensitivity of the Personal Information and the risk of harm to you by unauthorized disclosure, deletion, or correction as applicable.

Incentives and "Non-Discrimination". The CCPA prohibits discrimination against California consumers for exercising their rights under the CCPA and imposes requirements on financial incentives. If a consumer exercises their rights under CCPA, businesses may not discriminate against them including by denying or providing a different level or quality of goods or services or charging or suggesting that a business will charge different prices or rates or impose penalties, unless doing so is reasonably related to the value provided by the consumer's data.
